1.1. Car Studio AI provides automatic car photo editor and other services provided on the Platform to the Users.

1.2. In order to use certain features of the services provided by Car Studio AI, You will need to register for an account ("Account"). Users declare that the information they provide regarding the Account that they registered is correct, up-to-date and complete.

1.3. The User is personally responsible for the confidentiality of the information he/she provides while registering an Account to the Platforms, protecting his/her password and name and not sharing it with third parties. Car Studio AI does not take any responsibility for any damages that may arise against the User in the event that their information is stolen by an unauthorized person while using Car Studio AI products and services.

1.4. By creating an Account on Car Studio AI Platforms, you declare that you (i) are 18 years old or of legally liable age to enter into a binding contract under applicable law; (ii) have full legal capacity and authority to fulfil these conditions; (iii) represent and warrant that your Account on Car Studio AI Platforms has not been suspended or closed before.

1.5. Users must be at least 18 years old to use the Platform.

1.6. Users can only benefit from the services offered by Car Studio AI and make transactions for legitimate purposes. The legal and criminal responsibility for all transactions and actions performed by the Users on the Platform belongs exclusively to them.

1.7. Users cannot transfer, sell or let someone else use his/her account and transfer their obligations and rights to third parties. Otherwise, Car Studio AI has the right to cancel, suspend or terminate the User's account. Due to the use of these rights by Car Studio AI, the User agrees that he/she has irrevocably waived all his/her rights. The User is responsible for all damages that occur within the scope of this article and all penal sanctions belongs to the User.

1.8. Pursuant to information requests from public institutions, subpoenas or order, Car Studio AI is authorized to share any information with the relevant institutions including but not limited to, User profile information (name, surname, e-mail address, etc.), IP address and usage history, published content and any content in order to protect both Car Studio AI systems and its Users.

2.1. Certain Services may be provided the User free-of-charge from time to time. Other services require payment before the User can access them. The User may access the services after the User have successfully subscribed to a respective subscription plan ("Paid Services") which is subject to a payment of fee(s) as may be determined by Car Studio AI from time to time ("Fee") which shall be made via credit card or ____ ("Payment Method"). Car Studio AI shall reserve the right to introduce further Paid Services from time to time at its own discretion. All Fees are quoted in Turkish Lira (TL) unless otherwise specified by Car Studio AI. The Fee is exclusive of all taxes, which shall be borne by the User.

2.2. Subscription to Paid Services is on an auto-renewal basis. The subscription will automatically renew when the subscription period (on a monthly or annual basis) expires.

2.3. The terms regarding promotions and discounts we offer to the Users for their subscription to Paid Services will be disclosed with the offer submitted.

2.4. The billing period for each subscription type occurs as specified on the Platform at the of purchase.

2.5. Car Studio AI reserves the right, in its sole discretion, to change, amend, adjust or diversify the price, package and/or features of the Paid Services subscription plan(s) without any notice to Users.

2.6. Car Studio AI makes reasonable efforts to ensure that the pricing and information of the services specified on the Platforms are accurate. Car Studio AI accepts no liability where the Service specified on the Platforms may be clearly mispriced.

3.1. Users may cancel their Paid Services subscription at any time. If the subscription is canceled within this scope, Users will be able to continue to access the Paid Services until the end of the billing period. To the extent permitted by applicable law, payments made for subscriptions are not refunded to Users. There are no refunds for Paid Services not used by Users.

3.2. Subscription cancellations are made through the relevant application store or the Platform, if any.

4.1. The User can request the closing of their account at any time without giving any reason. This request can only be forwarded via legal@carstudio.ai. Upon the request of the User, the account is closed within 30 days from the date of receipt of the request.

4.2. The account transaction details and data of the User whose account is closed in accordance with the legal regulations and the legitimate interests of Car Studio AI will continue to be stored by Car Studio AI for the periods stipulated in the law.

5.1. Car Studio AI grants Users a non-exclusive, non-transferable, non-sublicensable, revocable, limited license right to access and use the services, pursuant to these Terms of Use, within the framework of the following terms.

5.2. Based on the license right granted to Users:

• Any content used or displayed in any part or all of the services may not be licensed, sublicensed, sold, leased, transferred, distributed or otherwise commercially exploited without the prior written consent of Car Studio AI.
• No amendments can be made to Car Studio AI services in any way.
• Car Studio AI services shall not be accessed with any technological means other than authorized digital tools determined by Car Studio AI.

5.3. Car Studio AI has the authority to change, suspend or terminate the services provided to the Users without any notice. Users agree that Car Studio AI will not be liable for any change, suspension or termination of its services for any reason. Car Studio AI has no obligation to provide Users with any support or maintenance in connection with the service.

5.4. The User undertakes that he/she will not hold Car Studio AI, Car Studio AI's directors, shareholders, suppliers, representatives, agents, employees, consultants, affiliates responsible for any loss and/or damages in any adverse event, dispute or confliction that may arise during the use of the Platforms, or as a result of the services provided or transactions made within Car Studio AI.

6.1. Unless otherwise stated, by sending all kinds of data, information, text, photos, pictures, graphics, codes, signs, logos or other content ("Content") regarding the content shared by the User through the Platform, the User hereby grants Car Studio AI and its affiliates a non-exclusive, irrevocable, royalty-free and transferable license right.

6.2. The User accepts and declares that, under this license right, Car Studio AI has the authority to disseminate, publish, copy, reproduce, process, reorganize, transmit, lease, publicly offer, sub-license, modify and benefit from other related financial and moral rights on the Content.

6.3. You accept and declare that you own all the intellectual property rights of the Contents within the scope of Article 5.1. and that these Contents do not violate these Terms and Conditions and any rights of any third party or organization.

6.4. You accept, declare and undertake that Car Studio AI bears the title of hosting provider pursuant to Law No. 5651 and is not obliged to check the Content provided by You and to investigate whether the publication of the relevant Content from anywhere on the internet or the display and sale of products related to these Contents constitutes an unlawful situation.

6.5. Unless otherwise stated, all copyrights and other intellectual property rights related to all kinds of messages, data, information, text, music, sound, photograph, picture, graphic, code, sign, logo, sound and video, image animation, podcast, analysis, research, report and content on the Platform belongs to Car Studio AI and are protected in accordance with the Intellectual Property Law No. 5846. Car Studio AI owns the copyrights of any Content contained or accessible in the Platform and their databases.

6.6. The Car Studio AI brand and logo and other marks ("Trademarks") displayed on the Platforms are registered and/or common law trademarks of Car Studio AI and/or third parties. Unless expressly stated otherwise, Users are not granted any right or license to use any Trademark on the Platform without the written consent of Car Studio AI or the third party.

7.1. Users agree and undertake that they will not engage in prohibited activities or any similar activities, including but not limited to the following:

• To use content that is illegal, inauthentic, defamatory, obscene, pornographic, inappropriate, threatening, infringing on privacy, misleading, fraudulent, criminal, inciting or leading to criminal activities, violating the rights of third parties and in this context, national and international laws and regulations,
• To use content that infringes third parties' patent, trademark, trade secret, copyright or other intellectual property rights, disclosing proprietary information, including but not limited to address, telephone number, e-mail address, social security numbers and credit card information,
• To use content containing viruses, corrupted data and similar malicious software,
• To use all kinds of content and content where the promotion, advertisement and marketing of products and services incompatible with the purpose of the Platform,
• To use any automatic mechanisms including but not limited to such as robots, web bots, crawlers, spiders and data crawling and/or using these mechanisms to extract or collect any systematic data from the Platform,
• To interfere or disrupt with the Platform, Car Studio AI systems, servers or networks that are or not collected to the Platform,
• Attempt to gain unauthorized access to any part or all of the Platform, the accounts of other Users, or Car Studio AI systems or networks connected or not connected to the Platform
• To use all kinds of content, including but not limited to the above that is contrary, objectionable of inappropriate and that restricts or prevents other Users from using and benefiting from the Platform.

7.2. The User undertakes not to engage in actions that tarnish Car Studio AI, damage its commercial reputation or create unfair competition by using the Car Studio AI brand name and/or logo, including the activities mentioned above. This commitment covers all social media authorities, including all kinds of written and visual media. In case of detection of a violation of this clause, Car Studio AI may restrict the User's access without prior notice; reserves the right to block, suspend or completely delete the Account. In addition, Car Studio AI shall exercise its right of compensation for any breach of this clause against the User. The User accepts, declares and undertakes that he/she waives all rights due to the implementation of this article. Car Studio AI reserves the right to sue and demand about any situation where the User violates these Terms and Conditions.

8.1. Car Studio AI Platforms contain links to third-party platforms other than its subsidiaries and group companies. In this context, although the links ("Links") provided on the Platform are not under the control of Car Studio AI, Car Studio AI is not responsible for the products, services and content of the linked Platforms. The Links on the Platform are in order to improve the Platform experiences of the Users and facilitate their transactions, and this does not mean that Car Studio AI has approved the Links. The Linked Platforms are owned by retailers or service providers independent of Car Studio AI and are the property of third parties. It is the User's responsibility to accept the terms and conditions and privacy policies of these linked Platforms.

9.1. Car Studio AI has the authority and opportunity to make changes on its Platforms and the Terms and Conditions regarding the Platforms at any time and to the extent and manner it deems necessary. All changes made will be valid on the Platform or as of the "Last Updated Date" specified in the Terms and Conditions. In order to make changes, Car Studio AI is not obliged to give any warning or prior notification to the User, and the User does not have the right to object to the amendments. However, Car Studio AI undertakes that it will take due care to notify the User of this change by the communication method chosen by the User (if not, only by e-mail) a reasonable time before the changes is processed. The User who does not want to accept the change can close his/her account. Continuing to use the Platforms by the User means acceptance of the changes.

9.2. We recommend that you periodically check these Terms and Conditions to be aware of any changes. Platforms will always publish the latest version of these Terms and Conditions.

10.1. The User accepts that Car Studio AI may not be able to fulfil his obligations within the scope of the service due to economic, social or political turmoil that may occur in Turkey and/or the countries where Car Studio AI operates, regional and/or global wars that may significantly affect Car Studio AI's activities, national, regional or global economic crises and fluctuations, Restrictions that countries may impose on their markets, natural disasters and extraordinary market conditions, or legal regulations that may be made in Turkey and other countries, the savings of public authorities or other events or reasons that cannot be overcome by forethought and due care ("Force Majeure") and that Car Studio AI will not have any responsibility towards the User for these reasons.

11.1. If any provision, clause or condition of these Terms and Conditions is or is deemed to be wholly or partially invalid, illegal or unenforceable at any time and for any reason, this will not affect the validity and performance of the other provisions, clauses or conditions. In this case, the Parties will negotiate in good faith to replace the partially or completely invalid, illegal or unenforceable provisions with new, valid and enforceable provisions that have the same economic and legal effects on the Parties.

12.1. Terms and Conditions and Turkish Law will be applied in disputes arising from the use of the Platforms, and Istanbul Anatolian Courts and Enforcement Offices are exclusively authorized for the resolution of disputes.
